BY-LAWS OF THE
MacArthur Society of West Point Graduates
Approved 6/28/2023
MISSON:
“To preserve, defend, and advocate for West Point’s history, purpose, and principles of Duty, Honor, Country.”
Membership
- Regular – USMA Graduates
- Honorary – TBD in the future
- Associate – TBD in the future
Voting
- First year – voting only by Board members
- After second year – TBD
Resignation: Any member may resign at any time by giving written notice. Any dues paid will not be reimbursed.
Board of Directors
- The affairs of the Society shall be managed by the Board of Directors The number shall be determined annually by the board.
- A quorum required for the Board to conduct any voting business shall consist of a majority of the voting members of the Board. Decisions will be made by a majority vote of Board members present.
- Selection: Members shall be voted on annually by the Board.
Officers
- Initial officers shall serve for one year. Duration may change annually based on needs/vote of the Board.
- Any vacancy in the officer position(s) occurring during the year shall be filled by the Board’s election of one of its members to serve the unexpired term created by such vacancy. Officers will be selected by the Board. This election shall take place at the regular meeting of the Board of Directors following when the vacancy occurs.

- Treasurer / financial tax status (preference to accountant/CPA)

- Webmaster
- Legal Advisor (attorney)
- Press Liaison
- Social Media
- USMA Liaison
- Treasurer and Legal Advisor need not be USMA grads and may be hired by the Board and made ex officio members of the Board.
- All monies received by the Society will be forwarded to the Treasurer who is also responsible for financial records and any required tax filings.
Meetings
- Schedule of Meetings:
- The Annual Meeting for election of the Board of Directors, and other business as prescribed in the By-Laws, will be held at a location/time/venue decided by the Board of Directors.
- Other meetings will be held as decided by the Board of Directors.
- Board meetings and general membership meetings can be conducted in person, remotely, or a combination of methods with voting by voice, paper ballot, or electronic means being recorded.
- Meetings will generally follow Roberts Rules of Order voting procedures in meetings.
- Order of Business at Meetings:
- At the Annual Meeting the order of business shall be as established by the Board of Directors and shall include the election of Regular Active Members to the Board of Directors.
- Meetings can be held in person or online.
Committees
- The Board shall establish operating committees as it deems necessary.
- All committee members shall be appointed by the President, subject to approval by the Board of Directors.
Dues / Finances
- Determined by the Board at the annual meeting.
- If/when the society has official cash flow, annual accounting documents will be available to members annually and upon special request.
Amending the By-Laws: The By-Laws can be amended by a 2/3 majority vote of the Board of Directors, using the following procedures:
- The proposed amendment is presented in writing to every member of the Board.
- The Board votes to accept the written amendment during a scheduled meeting.
Dissolution: In the event of Dissolution of the MacArthur Society, all funds and property remaining clear and unencumbered following final receipts and disbursements will be offered to the organization(s) determined by the vote of the majority of the Board.
